Impact Scale LLC is seeking a pragmatic, solutions-oriented General Counsel / In-House Attorney to oversee all legal operations, risk management, corporate governance, and compliance across multiple entities. This executive-level position serves as a trusted advisor to executive leadership, striking a meticulous balance between comprehensive legal protection and business growth objectives within a high-volume performance marketing environment.
Rather than providing purely theoretical legal analysis, you will deliver practical, business-forward strategies. You will collaborate cross-functionally with finance, tech, operations, and compliance departments to proactively isolate liabilities, structure scalable contractual frameworks, and manage our corporate portfolio.
Key Responsibilities
Strategic Legal Counsel & Multi-Entity Governance
Executive Advisory: Provide expert legal counsel and immediate strategic guidance to executive leadership across all global business initiatives and entity structures.
Entity & Governance Management: Oversee corporate governance matters, state filings, entity structuring, and organizational compliance requirements across multiple affiliated entities and business lines.
Policy Architecture: Develop, roll out, and maintain internal legal policies, rigorous compliance procedures, and operational safeguards to mitigate risk.
External Counsel Management: Manage relationships with outside legal counsel, direct specialized litigation matters, and optimize corporate legal budgets.
Commercial Transactions & Contractual Infrastructure
End-to-End Contract Cycles: Draft, review, negotiate, and finalize a high volume of commercial agreements, including vendor contracts, strategic partnership agreements, licensing models, and client-facing structures.
Scalable Systems: Build and optimize automated, repeatable contractual processes that support rapid company scalability without compromising protections.
Transactional Due Diligence: Evaluate legal and operational liabilities during strategic transactions, joint ventures, business development, and potential corporate acquisitions.
Marketing, Privacy & HR Regulatory Protections
Advertising Compliance: Review and advise on direct-response marketing communications, lead generation flows, consumer data usage, and industry-specific advertising rules.
Data Privacy Governance: Maintain strict operational safeguards matching evolving global privacy standards (GDPR, TCPA, CAN-SPAM) impacting performance marketing.
Employment & HR Advisory: Provide explicit guidance on employment matters, internal human resources policies, independent contractor agreements, and executive compensation structures.
Regulatory Tracking: Maintain active, expert-level awareness of evolving legislative, regulatory, and administrative changes impacting the company's core verticals.
Qualifications & Skills
Education: Juris Doctor (JD) degree from an accredited law school is strictly required.
Licensing: Active bar membership in good standing and licensed to practice law in at least one U.S. jurisdiction.
Experience Level: 5+ years of progressive legal practice experience, with clear expertise in corporate law, commercial transactions, performance marketing, or regulated consumer verticals.
In-House Background: Prior experience operating autonomously as an in-house counsel, corporate attorney, or fractional general counsel is strongly preferred.
Industry Acumen: Demonstrated knowledge of lead generation mechanics, data compliance, advertising, finance, insurance, or related highly regulated spaces.

Compensation & Benefits
Salary Range: $150,000 - $300,00 per year (Dependent upon experience, expertise, and strategic value)
