Impact Scale is seeking a strategic, business-minded General Counsel / In-House Attorney to oversee legal operations, risk management, corporate governance, and compliance across multiple entities. This role requires a strong understanding of corporate law, contracts, regulatory frameworks, and operational risk, while also serving as a trusted advisor to executive leadership on legal and strategic matters. The ideal candidate is experienced, pragmatic, solutions-oriented, and capable of balancing legal protection with business growth objectives in a fast-paced performance marketing environment.

 

Key Responsibilities:

·      Provide legal counsel and strategic guidance to executive leadership across all business operations and initiatives.

·      Draft, review, negotiate, and manage a wide range of agreements, including vendor contracts, partnership agreements, employment agreements, licensing agreements, marketing agreements, and client-facing contracts.

·      Serve as primary in-house legal counsel for multiple affiliated entities and business lines.

·      Oversee corporate governance matters, entity management, and organizational compliance requirements across multiple entities.

·      Advise leadership on legal risk, regulatory compliance, employment matters, intellectual property, privacy, advertising compliance, and dispute resolution.·      Develop and maintain internal legal policies, compliance procedures, and operational safeguards.·      Support business development, acquisitions, partnerships, and strategic transactions by evaluating legal and operational risks.·      Manage outside counsel relationships, legal budgets, and litigation matters when necessary.

·      Review and advise on marketing, lead generation, data usage, and advertising compliance matters within the organization’s industries.

·      Provide guidance on employment matters, contractor relationships, compensation structures, and HR-related legal issues.

·      Assist leadership in structuring scalable operational and contractual processes that support company growth.

·      Maintain awareness of evolving legal and regulatory developments impacting the company’s industries and operations.·      Collaborate cross-functionally with finance, operations, sales, compliance, and executive teams to proactively identify and mitigate legal risks.

Education, Experience, and Licensing Preferences:

·      Juris Doctor (JD) degree required.

·      Active license to practice law in at least one U.S. jurisdiction required.

·      Preferred 5+ years of progressive legal experience in performance marketing, corporate law, commercial transactions, regulatory compliance, or related practice areas.

·      Prior in-house counsel experience preferred.

·      Experience advising high-growth companies, marketing organizations, or multi-entity businesses preferred.

·      Experience within relevant industries strongly preferred.

Preferred Qualifications/Skills:

·      Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.

·      Strong background in corporate law, commercial transactions, contracts, compliance, and business operations.

·      Prior in-house counsel experience strongly preferred.

·      Industry knowledge is strongly preferred, particularly in performance marketing, lead generation, advertising, finance, insurance, or related regulated industries.

·      Ability to provide practical, business-oriented legal advice rather than purely theoretical legal analysis.

·      Excellent negotiation, drafting, and risk assessment skills.

·      Strong communication and interpersonal skills with the ability to work closely with executive leadership and cross-functional teams.

·      Experience managing multiple entities and complex organizational structures preferred.

·      Ability to operate independently in a fast-paced, entrepreneurial environment.

·      Strong judgment, discretion, and problem-solving capabilities.
